MATERIAL TRANSFER AGREEMENT

NONCOMMERCIAL RESEARCH AGREEMENT AND LICENSE FOR NONPROFIT ENTITIES
FOR THE USE OF FUCCI TRANSGENIC MICE

  • Amalgaam Co., Ltd. (“Amalgaam”) agrees to distribute, and the LICENSEE agrees to use,
    Fucci transgenic mice (”RESOURCES”) under the following terms and conditions.

  • The LICENSEE of a noncommercial entity agrees to use the RESOURCES for the specific
    purpose of noncommercial research activities.

  • The LICENSEE agrees and fully understands that the Agreement does not grant the
    LICENSEE any rights to (i) modify the coding region of the nucleic acids encoding the
    fluorescent protein or fluorescent indicator protein (such as the Fucci cell-cycle indicators) of
    the RESOURCES, (ii) offer the RESOURCES or any component, derivative, or modification
    thereof for resale, or (iii) use the RESOURCES for commercial purposes.

  • The LICENSEE shall be responsible for the care and control of the RESOURCES. The
    RESOURCES are being provided “as is” and “with all faults, defects, and errors,” and
    Amalgaam has absolutely no liability for any error, omission, or inaccuracy in the licensed
    materials. The LICENSEE accepts the RESOURCES with the knowledge that the properties
    of the RESOURCES have not been completely investigated and are not entirely known and
    thus the LICENSEE agrees to use prudence and reasonable care in the use, handling, and
    containment of the RESOURCES.

  • The terms of the Agreement will commence upon registration of the LICENSEE information
    thereof.

  • Amalgaam shall not assume any liability for any claim asserted against the LICENSEE by any
    party for the use of the RESOURCES by the LICENSEE.

  • Amalgaam takes all possible measures to ensure the appropriate protection of all personal
    information.

  • Amalgaam uses the personal information of the LICENSEE for the following purposes:
    • Providing information and service to registrants,
    • Confirming the status for access to the website and for email newsletter delivery
    • Ensuring effective communication
    • Satisfying all legal requirements of concerned government ministries
